No. 2
PROPOSING AN AMENDMENT TO THE BYLAWS PROVIDING
FOR THE ELECTION OF DIRECTORS BY DISTRICT
Summary
Under the bylaws of the Association, three
directors, one from each voting district, are
elected each year by a plurality of the membership
voting at large. Nomination petitions must
be delivered to the Homer office. The
proposed amendment provides for the election and
removal of directors by members of their
respective districts and allows nomination petitions
to be delivered to the Kenai office as well as the
Homer office.
Article IV, Section 2; Article IV, Section 4;
and Article IV, Section 5 of the bylaws currently
reads as follows:
Section
2. Election
and Tenure of Office.
(a) Three
Directors, one from each voting district, shall be
elected each year by a plurality of the membership
voting at large, for a three-year term, or until
their successors have been duly elected and shall
have qualified as Directors.
Section 4.
Nominations.
Any fifteen (15) or more members acting together may
make nominations by petition. The petition shall be
delivered between the hours of
8:00 a.m.
and
5:00
p.m.
to the Homer,
Alaska
,
office of the Cooperative not less than sixty (60)
days prior to the date of the meeting of the members
at which the Directors are to be elected.
The Secretary shall determine whether each
candidate so nominated is qualified as provided in
the bylaws and shall mail with the notice of the
meeting, or separately, but at least fifteen (15)
days before the date of the meeting, the list of
qualified nominations specifying separately the
candidates from each voting district.
The chairman shall invite additional
nominations from the floor, and nominations shall
not be closed until at least one minute has passed
during which no additional nominations have been
made. No
member may nominate more than one candidate.
Section 5.
Removal of Directors by Members.
A director may be removed for cause by the
affirmative vote of a majority of the members after
having served the first 120 days of the term for
which elected or appointed.
A member vote by mail or in person at a
meeting held for the purpose of considering the
question.
Proposition
Shall
Article IV, Section 2; Article IV, Section 4; and
Article IV, Section 5 of the bylaws of Homer
Electric Association, Inc. be amended to read as
follows?
Article IV, Section 2.

have qualified as Director.
