PROPOSING
AN AMENDMENT TO THE BYLAWS ESTABLISHING A LIMIT ON THE TERMS
OF DIRECTORS
Summary
This proposed amendment would establish term limits
for directors.
Article IV, Section 2, of the bylaws
currently reads as follows:
Section 2.
Election and Tenure of Office.
Three Directors,
one from each voting district, shall be elected each year by
a plurality of the membership voting at large, for a
three-year term, or until their successors have been duly
elected and shall have qualified as Directors.
Proposition
Shall
Article IV, Section 2 of the bylaws of Homer Electric
Association, Inc., be amended to add the following language?
No director shall serve more than three full consecutive
terms: provided, however, that a person sitting as a
director on
December 10, 2004
, shall not, by virtue of this provision, become ineligible
to serve until after said director has served three
additional consecutive terms.
